SEC Issuses Trading Suspension of eCareer

On April 8, 2014, the Securities and Exchange Commission (“SEC”) announced the temporary trading suspension of eCareer Holdings, Inc. of Boca Raton Florida. The trading suspension was issued pursuant to Section 12(k) of the Securities Exchange Act of 1934 (the “Exchange Act”). The trading suspension will terminate at 11:59 p.m. EDT on April 21, 2015.

The trading suspension in the securities of eCareer was issued because of concerns about the accuracy and adequacy of publicly disseminated information concerning its SEC filings, among other things. This order was entered pursuant to Section 12(k) of the Securities Exchange Act of 1934 (Exchange Act).

eCareer is an SEC reporting issuer quoted by the OTC Markets with the ticker symbol ECHI.  In 2012, eCareer went public in a reverse merger transaction with a public company known as Barossa Coffee Company. eCareer’s last Annual Report on Form 10-K for the year ending June 30, 2014, and Form 10-Q for the period ending December 31, 2014, reflects the Company had minimal cash on hand of $8,303 and $7,404 respectively.

The Commission cautions broker-dealers, shareholders, and prospective purchasers that they should carefully consider the foregoing information along with all other currently available information and any information subsequently issued by the company. Further, brokers and dealers should be alert to the fact that, pursuant to Rule 15c2-11 under the Exchange Act, at the termination of the trading suspension, no quotation may be entered unless and until they have strictly complied with all of the provisions of the rule.
